The BAG BORROW OR STEAL CRAZY RICH ASIANS DIGITAL RELEASE GIVEAWAY ("Giveaway") promoting the digital release of the motion picture Crazy Rich Asians (the "Picture") starts at November 13, 2018 at 12:01 am CST - Ends November 20, 2018 11:59 pm CST ("Entry Period"). The sponsor of the Giveaway is Bag Borrow or Steal, Inc., 2114 Eagle Drive, Middleton, WI 53562 (the "Sponsor"). The Giveaway is subject to these Giveaway Official Rules (the "Official Rules") and all federal, state, and local laws and regulations, and by entering, entrant agrees to be bound by them.

ELIGIBILITY: Giveaway is open only to legal residents of the United States and the District of Columbia ("Eligibility Area"), who as of the date of their entry into the Giveaway are eighteen (18) years of age or older. WINNER SELECTION AND NOTIFICATION: Fifteen (15) potential Winners will be selected from all eligible entries received during the Entry Period in a random drawing conducted by Sponsor. The random drawing for the Entry Period will be conducted on or about November 21, 2018. Winner(s) will be notified by Sponsor within one (1) month of the last day of the Giveaway via social media platform. The potential Winner(s) must respond via email within five (5) business days of notification, and provide the requested contact information. In the event a Winner does not respond to Sponsor's notification or does not accept the prize within five (5) business days of notification, the prize will be deemed forfeited and an alternate Winner will be selected. In the event that any one or more potential Winner(s) fails to respond as stated above, declines the prize or fails to provide signed affidavits or releases, such Winner(s) will be deemed to forfeit the prize and Sponsor will select an alternate Winner(s) from the remaining eligible entrants. If any alternate(s) similarly fails to respond or declines the prize, Sponsor will use a reasonable number of attempts, in its discretion, to award the prize(s) to another alternate(s) but if it is unable to do so, the prize(s) will be finally forfeited and Sponsor shall have no further liability in connection with this Giveaway

The Winner(s) may, in Sponsor's discretion, be required to sign and return, each in the form provided by Sponsor, an affidavit, liability release and/or other related documents (collectively, the "Affidavit") before being confirmed as Winner. Should this be the case, the potential winner must return the completed Affidavit within five (5) business days from the date of notification or the Prize may be forfeited and awarded to an alternate winner selected at random. Once each potential winner's eligibility is verified, he/she will be confirmed as a winner. An access code to redeem the prize will be sent to the winners within thirty (30) days from the date the winners are confirmed.

All decisions of Sponsor on all matters relating to this Giveaway, including, without limitation, decisions related to its selection and determination of potential winners of this Giveaway shall be final and binding and not subject to challenge or appeal.

If for any reason the Giveaway is not capable of running as planned, or if the Giveaway or the Giveaway Site (or any portion thereof) becomes corrupted or does not allow the proper playing of the Giveaway and processing of Entries in accordance with these Official Rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by Entrants, fraud, technical failures, or any other causes, in the Sponsor's sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Giveaway or the granting of the prizing or any components thereof, Sponsor reserves the right, in its sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify, or suspend the Giveaway or any portion thereof. In the event the Giveaway is cancelled, and to the extent possible as determined by Sponsor, Sponsor will conduct a random drawing to select Entrants from among all eligible, non-suspect Entries received prior to the time of the action or event warranting such cancellation, and to award the prize (or any awardable portion(s) thereof). In the event that Sponsor determines that there are no eligible Entrants, Sponsor reserves the right in its sole discretion to not award the prizes (or any portion(s) thereof). ARBITRATION: BY ENTERING INTO THE GIVEAWAY, EACH ENTRANT AGREES THAT ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THIS GIVEAWAY (INCLUDING WITHOUT LIMITATION ITS PRIZING) OR RELATING TO THESE OFFICIAL RULES, THEIR ENFORCEMENT, ARBITRABILITY OR INTERPRETATION, SHALL BE SUBMITTED TO "JAMS" (JUDICIAL ARBITRATION AND MEDIATION SERVICES) FOR FINAL AND BINDING ARBITRATION, TO BE HELD IN LOS ANGELES, CALIFORNIA, BEFORE A SINGLE ARBITRATOR. THE ARBITRATOR SHALL BE SELECTED BY MUTUAL AGREEMENT OF THE PARTIES OR, IF THE PARTIES CANNOT AGREE, THEN BY SELECTING AN ARBITRATOR FROM A LIST OF ARBITRATORS SUPPLIED BY JAMS. IF THE PARTIES STILL CANNOT AGREE ON AN ARBITRATOR, THE ARBITRATOR SHALL BE APPOINTED BY JAMS. THE ARBITRATION SHALL BE A CONFIDENTIAL PROCEEDING, CLOSED TO THE GENERAL PUBLIC. THE ARBITRATOR SHALL ISSUE A WRITTEN OPINION STATING THE ESSENTIAL FINDINGS AND CONCLUSIONS UPON WHICH THE ARBITRATOR'S AWARD IS BASED. THE PARTIES WILL SHARE EQUALLY IN PAYMENT OF THE ARBITRATOR'S FEES AND ARBITRATION EXPENSES AND ANY OTHER COSTS UNIQUE TO THE ARBITRATION HEARING (RECOGNIZING THAT EACH SIDE BEARS ITS OWN DEPOSITION, WITNESS, EXPERT AND ATTORNEYS' FEES AND OTHER EXPENSES TO THE SAME EXTENT AS IF THE MATTER WERE BEING HEARD IN COURT). NOTWITHSTANDING THE FOREGOING, THE ARBITRATOR MAY REQUIRE THAT SUCH FEES BE BORNE IN SUCH OTHER MANNER AS THE ARBITRATOR DETERMINES IS REQUIRED IN ORDER FOR THIS ARBITRATION CLAUSE TO BE ENFORCEABLE UNDER APPLICABLE LAW.

GOVERNING LAW: Each entrant acknowledges that the internal substantive laws (as distinguished from the choice of law rules) of the State of Wisconsin and the United States of America applicable to contracts made and performed entirely in Wisconsin shall govern the validity and interpretation of these Official Rules and all other causes of action (whether sounding in contract or in tort) arising out of or relating to these Official Rules.

NO INJUNCTIVE RELIEF: EACH ENTRANT UNDERSTANDS AND AGREES THAT HE/SHE SHALL HAVE NO RIGHT TO ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, ADVERTISING, PROMOTION, DISTRIBUTION OR EXPLOITATION OF THE GIVEAWAY, THE PICTURE, OR ANY OTHER PROJECT, PROMOTION OR INTELLECTUAL PROPERTY OF GIVEAWAY ENTITIES OR ANY OF THEIR RESPECTIVE PARENTS, SUBSIDIARIES OR AFFILIATES.
