1. HOW TO ENTER:

NO PURCHASE OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. To participate in the America's Ultimate Bagaholic contest (the "Contest") beginning at 6a.m. Eastern Time ("ET") on July 17, 2007 through 5p.m. ET on September 4, 2007 you may submit a video or photograph and up-to 150 words that capture your passion for handbags. To submit your video or photograph and essay (collectively, the "Entry"), visit www.bagborroworsteal.com/bagaholic and follow the instructions on how to submit your Entry. In order to complete your Entry, you must click on the disclaimer box provided to acknowledge that: (i) the Entry you submitted is your own original work; (ii) each is solely owned by you; (iii) you are giving Bag Borrow or Steal permission to use the Entry in the Contest; and (iv) you have obtained permission to submit this Entry from any people that may be depicted in the Entry. Contest ends at 5:00 p.m. ET on September 10, 2007. Limit one entry per person throughout the contest period.

2. IMPORTANT INFORMATION FOR ALL ENTRIES:

Entries that do not contain the required information will not be accepted. Each Entry must be the original work of entrant and must be owned by entrant. Videos must be 100MB or less and under 10 minutes in length. Modifying, enhancing or altering a third party's pre-existing work does not qualify as entrant's original work. The video caption must not have been submitted in any other competition or previously published. Entry must be in keeping with Sponsor's image and may not be offensive, as determined by Sponsor in its sole discretion, nor can it defame or invade publicity rights or privacy rights of any person, living or deceased, or otherwise infringe upon any person's personal or proprietary rights. Any entrant whose Entry includes the likeness of a third party or any Entry that contains elements not owned by the entrant (including, but not limited to, trademarks or logos) may be required to provide a legal release for such use, including Sponsor's use of such Entry, in a form satisfactory to Sponsor. Entries and any materials submitted in connection with such Entries will not be returned to participant.

3. JUDGING:

To determine five (5) semi-finalists, all entries will be preliminarily judged by employees of Bag Borrow or Steal and their public relations agency of record, RF|Binder Partners. The top entries will be determined based on the following judging criteria: Overall Charm (50%) and Expression of his or her passion for handbags (50%). Semi-finalists will be notified on or about September 6-11, 2007. Once finalists have been verified, Sponsor will re-judge all finalist Entries based on the above criteria and possibly work with a group of third parties, in order to determine one (1) overall Grand Prize winner based on the above criteria. In the event of a tie in any round, tied entrants will be re-judged, based solely on Overall Charm. Grand Prize winner will be notified sometime between September 13-17, 2007. By participating, entrants agree to the Official Rules and the decisions of the judges, which shall be final and binding in all respects. Winners and finalists will be notified by phone/e-mail/mail. Judges may disqualify Entries that have won previous awards or competitions. Entries will not be acknowledged or returned. Entrants acknowledge and agree that any tangible materials provided to Sponsor by the entrant will become the property of the Sponsor, and all intellectual property rights in and to Entries are licensed to Sponsor under the terms set forth in Section 7. Acceptance of any prize constitutes permission to use winners' names and likenesses and Entries without further compensation, except where prohibited by law and as otherwise provided herein. No information regarding Entries or judging will be disclosed.

4. PRIZES:

One (1) Grand Prize:

• One year of free handbag or jewelry rentals (excluding handbags from the Vintage Collection), which means ten consecutive handbag or jewelry rentals of up to one month each, and no more than forty weeks in total, over the course of a one-year period beginning 30 days after the prize is awarded;
• Free shipping for a year, which means standard USPS roundtrip shipping for the ten handbag or jewelry rentals described above;
• A 12 month membership to www.bagborroworsteal.com;
• Act as Sponsor's Fall 2007 Chief Bag Officer, carrying and critiquing six designer bags for a period of six weeks. Handbags to be chosen by Bag Borrow or Steal and may include styles from designers such as Gucci, Chanel, Be&D, Furla, Badgley Miscka, Tracy Reese, Tory Burch, Carlos Falchi, Lambertson Truex, Isabella Fiore, at Sponsor's discretion;
• Opportunity to write about the experience via a Sponsor provided and monitored blog or email. Sponsor will have editorial approval rights and reserves the right to edit inappropriate content;
• Sponsor will engage in promotional efforts to provide recognition of the Grand Prize winner in local, regional & national media.

The total approximate retail value of the prize package described above is US $4,560.

Four (4) Semi-Finalist Prizes:

• One month free, Couture renta1, excluding handbags from the Vintage Collection, chosen by the winner, ;
• A 12 month membership to www.bagborroworsteal.com;
• Free shipping for a year, which means standard USPS shipping for up to ten handbags or jewelry rentals on Sponsor's website over the course of a one-year period beginning 30 days after the prize is awarded;
• Sponsor will engage in promotional efforts to provide recognition of the Semi-Finalist in local and regional media.

The total approximate retail value of each of the Semi-Finalist prize packages is US $435.

No financial or other compensation will be made for any other use of the Entry, whether or not Sponsor makes use of the Entry in accordance with Section 7 herein. Winners will be notified by mail/phone. Prizes are not transferable; no substitutions or cash equivalents are allowed except by the Sponsor who reserves the right to award a prize of equal or greater value if advertised prize is unavailable. All finalists will be required to execute and return an Affidavit of Eligibility/Release of Liability/Assignment of Rights/Publicity Release (where legal) within 7 days of notification attempt or prize will be forfeited and an alternate winner determined, based on the judging criteria set forth above. Taxes, if any, related to the prize are the responsibility of the individual winners. No responsibility or liability is assumed for damages, losses or injury resulting from acceptance or use of any prize. All other expenses and costs not expressly listed above are the winner's sole responsibility. Limit one prize per household.

5. ELIGIBILITY:

Open to residents of the U.S., who are 18 years of age or older as of July 16, 2007. To be eligible you must be an amateur videographer, meaning you have not received any compensation for any videos you have taken in the past five years. Employees of Bag Borrow or Steal, and RF|Binder Partners are not eligible. This offer is void wherever prohibited and subject to all federal, state and local laws.

6. GENERAL RULES:

In the event of a dispute regarding any Entry, that Entry will be deemed made by the authorized holder of the applicable Bag Borrow or Steal account at the time of the entry submission. Return of any prize or prize notification as undeliverable may result in disqualification and alternate determination. By participating in this Contest, entrants agree to be bound by the official rules and the decisions of the judges. The Sponsor is not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in this Contest or by any human error which may occur in the processing of the online entries in this Contest. The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Contest or web site; violates the official rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. The Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Contest if it is not capable of running as planned, including, but not limited to, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures or any other problems beyond the control of the Sponsor and award prizes from among all eligible online Entries received prior to cancellation. The Sponsor and each of its respective affiliates, officers, directors, agents, and employees will have no liability or responsibility for any claim arising in connection with participation in this Contest or any prize awarded. Winners assume all liability for any injury or damage caused, or claimed to be caused, by participation in this Contest or use or redemption of any prize.

7. RELEASE:

By submitting an Entry, you hereby grant the Sponsor, its affiliates, subsidiaries, assigns, licensees, and legal representatives an exclusive, irrevocable, perpetual, royalty-free, worldwide license to use, reproduce, edit, market, store, distribute, have distributed, publicly and privately display, communicate, publicly and privately perform, transmit, have transmitted, create derivative works based upon, promote the Entry (as such may be edited and modified by the Sponsor in its sole discretion) for editorial, commercial, promotional and all other purposes; except that (i) on September 18, 2008, the license granted above will become non-exclusive, and (ii) the rights granted by the entrant to YouTube in connection with the initial submission of the video as a means of Entry is not deemed to breach the exclusive nature of the license granted above. In addition, you hereby assign to the Sponsor all rights, titles, and interests that you may be deemed to have in any reproduction, product, or derivative work using or incorporating the Entry. You represent and warrant that: (i) the Entry does not and shall not infringe on any copyright or any other third party right nor violate any applicable law or regulation, (ii) you have the right to grant any and all necessary rights and licenses provided herein, including without limitation, all necessary copyright and other related rights to the Entry free and clear of all claims and encumbrances without violating the rights of any person or entity, including any right to privacy or publicity. You hereby hold the Sponsor harmless from and against any third party claim arising from use of the Entry. You waive any right to inspect or approve uses of the Entry. You hereby represent and warrant that you have read these rules and are fully familiar with its contents.

8. LIMITATIONS OF LIABILITY:

SPONSOR AND ITS AGENTS ARE NOT RESPONSIBLE FOR LOST, LATE, DAMAGED, MISDIRECTED, ILLEGIBLE, INCOMPLETE, OR MUTILATED ENTRIES, OR FOR ANY COMPUTER, ONLINE, TELEPHONE OR TECHNICAL MALFUNCTIONS, DELAYS OR HUMAN ERRORS THAT OCCUR IN THE PROCESSING, TRANSMISSION OR RECEIPT OF ENTRIES, OR FOR INACCURATE TRANSCRIPTION OF ENTRY INFORMATION, OR FOR ENTRIES THAT ARE STOLEN, MISDIRECTED, GARBLED, LOST OR DELAYED BY COMPUTER TRANSMISSIONS, OR IF FOR ANY REASON, THE CONTEST IS NOT CAPABLE OF BEING CONDUCTED AS PLANNED, INCLUDING BUT NOT LIMITED TO INFECTION BY COMPUTER VIRUSES, BUGS, TAMPERING, UNAUTHORIZED INTERVENTION, FRAUD, TECHNICAL FAILURES, OR OTHER CAUSES BEYOND THE CONTROL OF SPONSOR. SPONSOR RESERVES THE RIGHT AT ITS SOLE DISCRETION TO CANCEL, TERMINATE, MODIFY OR SUSPEND THE CONTEST. SPONSOR IS NOT RESPONSIBLE FOR INCORRECT OR INACCURATE ENTRY INFORMATION WHETHER CAUSED BY INTERNET USERS OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR UTILIZED IN THE CONTEST OR BY ANY TECHNICAL OR HUMAN ERROR THAT MAY OCCUR IN THE PROCESSING OF THE ENTRIES IN THE CONTEST.

9. CHOICE OF LAW; VENUE:

Any disputes in connection with this Contest will be resolved in the appropriate courts in the state of Washington in the U.S., exclusively, and subject to the laws of the state of Washington. Should there be a conflict between the laws of the state of Washington and any other laws, the conflict will be resolved in favor of the laws of the state of Washington.

10. WINNERS' LIST:

The names of the finalists will be posted on the Bag Borrow or Steal website no later than August 21, 2007. The Grand Prize Winner will be posted on the Bag Borrow or Steal website no later than August 28, 2007.
